Terms of Service

1. Scope

These Terms govern all quotations, orders, and commercial relationships between Tianjin Chichen Trading Co., Ltd. ("CHICHEN", "we", "us") and wholesale buyers, distributors, and business customers ("Buyer"). By submitting an inquiry or placing an order, the Buyer accepts these Terms. The website serves as a point of contact and catalog presentation; no binding offer is created by product display alone.

2. Quotations & Pricing

• All prices are quoted individually per order and are valid for 30 days from the date of quotation unless stated otherwise.
• Prices are exclusive of VAT, customs duties, and freight unless expressly stated (FOB / CIF / EXW terms are agreed per order).
• Quoted prices assume the quantities and specifications in the quotation; changes may affect pricing.

3. Orders & Minimum Order Quantities

• Orders are confirmed only after written acceptance by both parties (e.g., signed Proforma Invoice or Purchase Order).
• Minimum Order Quantities (MOQ) and lead times are stated in the quotation.
• The Buyer must review the order confirmation promptly; discrepancies must be reported within 3 working days.

4. Payment

• Payment terms are agreed per order (typically TT deposit and balance before shipment, or LC for larger orders).
• Title to goods passes to the Buyer upon full payment.
• Late payments may accrue interest and suspend further shipments.

5. Shipping, Customs & Risk

• Incoterms and shipment dates are agreed per order. Risk of loss or damage passes to the Buyer at the agreed delivery point under the applicable Incoterms rule.
• Import duties, taxes, and customs clearance costs in the destination country are the Buyer's responsibility unless DDP terms are expressly agreed.
• Lithium-battery products are subject to dangerous-goods transport regulations (UN3480/UN3481); the Buyer must comply with destination-country requirements.

6. Warranty

• Products are warranted against manufacturing defects for the period stated in the quotation (standard: 12 months from shipment date).
• The warranty covers repair or replacement of defective parts; it does not cover normal wear, misuse, modification, improper battery handling, or damage caused by non-approved accessories.
• Claims must be submitted with photos/videos of the defect and, if requested, return of the defective item.

7. Intellectual Property

Product designs, packaging, logos, catalogs, and marketing materials are the property of CHICHEN or its licensors. OEM/ODM branding rights are granted only under a separate agreement. The Buyer may not reverse-engineer, copy, or resell proprietary designs beyond the agreed scope.

8. Limitation of Liability

To the maximum extent permitted by law, CHICHEN's total liability for any claim arising out of or related to a contract shall not exceed the contract price paid for the goods giving rise to the claim. CHICHEN is not liable for indirect, incidental, or consequential damages, including lost profits, production downtime, or loss of data.

9. Governing Law & Disputes

These Terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved through good-faith negotiation; failing that, they shall be submitted to the competent courts of Tianjin, China.
